Terms and conditions

The Dutch version of these terms is the legally binding text. The translation below is provided for convenience; the Dutch original at /nl/terms takes precedence in any dispute. This page is a working draft pending external legal review.

1. Parties and scope​

These terms apply to every commercial relationship between Conduction B.V. (KvK 76741850, BTW NL860784241B01, Lauriergracht 14h, 1016 RR Amsterdam) and the contracting party.

2. What we deliver​

Conduction delivers three categories of work:

  • Apps, the open-source software we publish on the Nextcloud app store. Each app ships under EUPL-1.2 unless its README states otherwise. Anyone may install and run them without a contract with Conduction.
  • Managed hosting, our SaaS Common Ground components hosted at commonground.nu. Pricing and SLA live on the Beheer page.
  • Advisory and development work, scoped per assignment. The applicable assignment agreement contains the deliverables, milestones, and rates.

3. Open-source apps​

Apps remain the property of their authors and contributors. Conduction's contribution is licensed under EUPL-1.2. The apps come without warranty. If you want a warranty, contract one of our partners or Conduction directly under an assignment agreement.

4. Managed hosting​

Common Ground components are billed monthly per app, in advance, by SEPA direct debit or invoice. The SLA, support hours, and incident response time are listed on the Beheer page. Termination notice is one calendar month.

5. Advisory and development​

Advisory and development assignments are governed by their own assignment agreement. These terms apply on top, where the assignment agreement is silent.

6. Pricing changes​

Conduction may change managed-hosting prices once per calendar year, with two months' notice. If you do not accept the change, you may terminate before the new price takes effect.

7. Liability​

Conduction's liability per calendar year is capped at the fees you paid us in the previous twelve months. We are never liable for indirect or consequential damage. This cap does not apply in case of intent or gross negligence.

8. Privacy and information security​

We process personal data per our privacy policy and our ISO 27001:2022 information-security management system. We sign a data-processing agreement on request.

9. Termination​

Either party may terminate an assignment agreement on the grounds set out in that agreement. Managed hosting follows the notice in section 4. We will hand over your data on termination, in an open, documented format.

10. Governing law and forum​

Dutch law applies. The District Court of Amsterdam has exclusive jurisdiction.
